近期，中国央行发文称，同意支付宝 (中国) 网络技术有限公司变更为无实际控制人。
这一官宣背后，是支付宝的母公司蚂蚁集团的股权结构变动。去年1月蚂蚁集团发布了一则《关于持续完善公司治理的公告》，其中最重要的变化涉及从马云及其一致行动人共同行使的股份表决权，到包括蚂蚁集团管理层、员工代表和创始人马云在内的10名自然人分别独立行使股份表决权。
这意味着，马云所持投票表决权从53.46%大幅降低为6.208%，马云也将不再是蚂蚁集团的实控人，蚂蚁旗下的最重要产品支付宝也相应地变更“主权”。换言之，支付宝也不再“姓马”。

主动削权 适应监管

此后，蚂蚁开始经历调查、罚款、整改等一系列动作。
首先是罚单，去年7月7日，中国人民银行、国家金融监督管理总局、中国证监会三家中国最主要的金融监管局，宣布对蚂蚁集团及旗下机构处以71.23亿元罚款。
监管方给出的支付宝"罪状"有七条，比如违反消费者金融信息保护管理规定；违反金融消费者权益保护管理规定等。蚂蚁开发了“花呗”、“借呗”、“微粒贷”等个人消费金融产品。这类产品用快速批核、无抵押、高额度、现金返款等方式吸引消费者使用，近年来在中国屡遭诟病，被指鼓励过度消费，以及增加了金融系统性风险。
此外，当局还提出蚂蚁在基金销售方面，违反代销基金产品准入、宣传、档案管理有关规定；违反基金销售机构人员管理、内部控制有关规定。
其次是业务整改，比如关停旗下的“相互宝”业务，再比如调整旗下借呗和花呗两项业务，彻底退出小贷市场。
蚂蚁集团还与阿里巴巴进行主动切割，比如蚂蚁集团的7名管理层人员全部退出阿里巴巴的合伙人团队，强化与股东阿里巴巴的隔离。

两年前叫停蚂蚁上市的触发点之一就是马云在上海外滩金融峰会上的演讲中批评传统银行有“当铺思想”，“害了很多企业家”；“好的创新不怕监管，但是怕用昨天的方式去监管”。

但马云投入较多的乡村教师计划，还在运行之中，背后是马云公益基金会主导。他在2023年8月的亮相也与该计划有关。
为蚂蚁上市扫清道路?
中国地方金融研究院研究员莫开伟撰文表示，支付宝在未来监管上将面临重大历史转折，由单一一家股东公司控制向多家公司共同控制转轨，未来的支付宝不属于哪一家公司，而是由所有支付宝业务活动公司来共同控制和集体决策，事实上也可理解为支付宝的去“马云化”甚至是去“蚂蚁化”。
“蚂蚁集团将支付宝变更为无实际控制人，金融监管部门就有可能批准和通过蚂蚁集团的上市申请，蚂蚁金服距离上市的日子也应该不会太远了。”莫开伟称。
在蚂蚁集团整改的过程中，也出现“国资”的身影。蚂蚁旗下的承接花呗、借呗等消费信贷业务的重庆蚂蚁消费金融公司，在一年前实施了增资计划，将资本金从80亿元提高至185亿元人民币的计划。其中，杭州本地国企杭州金投数字科技集团（杭金数科）出资18.5亿元，成蚂蚁消金第二大股东，占比10%。
实际上，早在2015年蚂蚁A轮融资时，社保基金就以78亿人民币入局，持股比例约5%，经几轮融资稀释，在蚂蚁原本的上市招股书上显示仍占2.93%，仍为蚂蚁最大外部股东。

现如今的估值则可以从今年7月的股权回购进行推测，蚂蚁称用自有资金从现有股东手中回购不超过7.6%的股权，根据该回购方案，蚂蚁集团对应的估值为5671亿元，缩水为最高估值的四分之一。
